1. Acceptance of Terms
By accessing or using Second Act Biz ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.
2. Description of Service
Second Act Biz is a marketplace connecting sellers of closed or dormant businesses with prospective buyers. We facilitate introductions only and are not a party to any transaction between buyers and sellers.
3. User Eligibility
You must be at least 18 years old and capable of forming a legally binding contract to use this Platform. By using the Platform, you represent and warrant that you meet these requirements.
4. Listings and Submissions
Sellers are solely responsible for the accuracy, completeness, and legality of their listings. Second Act Biz reserves the right to remove any listing at any time without notice. All financial and operational claims are the seller's own representations.
5. No Brokerage or Legal Advice
Second Act Biz is not a licensed broker, attorney, or financial advisor. Nothing on this Platform constitutes legal, financial, or investment advice. You are solely responsible for conducting your own due diligence.
6. Fees
Listing and browsing the Platform is currently free during the beta period. We reserve the right to introduce fees in the future with advance notice.
7. Prohibited Conduct
You agree not to: post false or misleading information; harass or harm other users; scrape or harvest data from the Platform; use the Platform for unlawful purposes; attempt to circumvent our security measures.
8. Intellectual Property
All Platform content, design, and code is owned by Second Act Biz or its licensors. User-submitted content remains the property of the submitter, but by submitting you grant us a non-exclusive license to display it on the Platform.
9. Disclaimer of Warranties
The Platform is provided "as is" without warranties of any kind. We do not guarantee the accuracy of listings, the completion of any transaction, or the fitness of the Platform for any particular purpose.
10. Limitation of Liability
To the fullest extent permitted by law, Second Act Biz shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, even if advised of the possibility of such damages.
11. Indemnification
You agree to indemnify and hold harmless Second Act Biz and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.
12. Changes to Terms
We may update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the new Terms.
13. Governing Law
These Terms are governed by the laws of the United States. Any disputes shall be resolved in the applicable courts.
